Terms of Service

1. Who we are

Bonkr Vault (the "Service") is a guild management portal for online games, operated by Bonkr Industries, LLC ("we", "us"). These Terms of Service ("Terms") are an agreement between you and Bonkr Industries, LLC. By creating a login, registering a guild, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use it only with the permission of a parent or guardian, who agrees to these Terms for you.

2. Accounts and guilds

• Your login. Keep your password private. You are responsible for what happens under your login. Tell us at [email protected] if you think someone else has used it.
• Accurate information. Give accurate information when you register, including a contact email that works if you register a guild.
• Guild administrators. The person who registers a guild, and anyone they make an admin, controls that guild's space on the Service: its members, roles, settings, apps and records. Guild administrators are responsible for how their guild uses the Service and for the people they invite.
• Guild records. Points, attendance, loot and similar records are kept by each guild for its own purposes. They have no cash value and are not property of any kind. We don't decide or settle disputes between guild members.
• Portal administration. We may review accounts and guilds, and act on them, to keep the Service running, enforce these Terms, or comply with the law.

3. Acceptable use

Don't use the Service to:

• break any law, or help someone else break one;
• harass, threaten, impersonate or discriminate against anyone, or post hateful, sexually explicit or violent content;
• post other people's personal information without their permission;
• sell, trade or advertise accounts, in-game currency or items for real money, or anything else that breaks the rules of the game your guild plays;
• upload malware, or files you don't have the right to share;
• try to get into accounts, guilds or data that aren't yours, or test, probe or get around the Service's security;
• overload the Service, or scrape or copy it by automated means, except through features we provide for that purpose;
• resell or rent out the Service without our written permission.

We may remove content or limit access to deal with a breach of these rules.

4. Your content

You keep ownership of what you and your guild put on the Service: news posts, notes, uploaded files, links and records ("Your Content"). You give us a non-exclusive, worldwide, royalty-free licence to store, copy, process and display Your Content only as needed to run and improve the Service for you, and to keep backups. This licence ends when Your Content is deleted, except for copies kept for a limited time in backups or where the law requires us to keep them.

You are responsible for Your Content and confirm you have the right to share it. Addon files and links that guild administrators share are provided by them, not by us; download them at your own risk.

5. Plans and subscriptions

• Basic is free and includes the core portal for one guild and its game.
• Plus and Premium are paid monthly subscriptions that add apps, as described in the App Store. Some apps use more than one app slot.
• Features, apps and slot counts may change over time. If we remove a paid feature you rely on, we'll tell guild administrators in advance where we reasonably can.
• If a subscription ends, is downgraded or is suspended, the guild moves to Basic. The core portal keeps working, and apps beyond the plan pause with their settings and data kept, until the subscription is restored.
• Some apps are marked "coming soon" and can't be added until they are released.

6. Billing

• Paid plans are billed in advance each month through our payment provider (currently Patreon). Their terms also apply to your payment, and they handle your payment details; we never see your full card number.
• Your subscription renews automatically each month until you cancel it with the payment provider. Cancelling stops future charges; the plan stays active until the end of the period already paid for.
• Prices are shown before you subscribe and may change. We'll give at least 30 days' notice of a price increase, which applies from your next billing period after the notice.
• You're responsible for any taxes that apply to your purchase, unless the payment provider collects them.
• If a payment fails or is reversed, we may suspend the paid plan until it is paid.

7. Refunds

All payments are final and non-refundable. We don't give refunds or credits for partial months, unused time, downgrades, unused apps or slots, or periods when a guild was suspended for breaking these Terms. This doesn't affect any right to a refund that the law gives you and that can't be waived.

8. Games and other services

• The Service is an independent fan project. It is not affiliated with, endorsed or sponsored by Blizzard Entertainment, Daybreak Game Company, or any other game publisher. World of Warcraft, Battle.net and Blizzard Entertainment are trademarks or registered trademarks of Blizzard Entertainment, Inc. EverQuest is a registered trademark of Daybreak Game Company LLC. Other names belong to their owners.
• Some features connect to other services you choose to use, such as Battle.net, Discord, Warcraft Logs, Patreon, Warcraft Recorder or Archon. Your use of those services is governed by their own terms. We aren't responsible for them, and they may change or stop what they offer, which can affect related features here.
• Game data shown on the Service (such as characters, items and logs) comes from those services and may be incomplete or out of date.

9. Suspension and termination

• You can stop using the Service at any time. To have your login or your guild deleted, contact us at [email protected] or ask your guild's administrator; see the Privacy Policy for what is kept.
• We may suspend or end a login, a guild, or a subscription if it breaks these Terms, puts the Service or other users at risk, isn't paid, or if we must by law. Where reasonable, we'll warn you first and give you a chance to fix the problem.
• We may stop offering the Service. If we do, we'll give at least 30 days' notice and a way to download your guild's main records where we reasonably can.
• Sections of these Terms that by their nature should continue (such as Your Content, Refunds, Disclaimers, Limitation of liability and Governing law) continue after termination.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise the Service will be uninterrupted, error-free or secure, or that data will never be lost. Keep your own copies of anything important.

11. Limitation of liability

To the fullest extent the law allows, Bonkr Industries, LLC and its owners, members, managers and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, profits, goodwill, in-game items or standing, arising from or related to the Service, even if told they were possible.

Our total liability for all claims related to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim arose, or (b) US $50.

Some places don't allow some of these limits, so they may not all apply to you.

12. Your responsibility for claims

To the extent the law allows, you agree to defend and hold harmless Bonkr Industries, LLC from claims, losses and costs (including reasonable legal fees) brought by others that arise from Your Content, your misuse of the Service, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought only in the state or federal courts located in Texas, and you and we agree to their jurisdiction. Before going to court, please contact us at [email protected] so we can try to resolve the issue informally.

14. Changes to these terms

We may update these Terms. The version and effective date at the top will change, and you'll be asked to accept the new version the next time you log in. If you don't agree to the changes, stop using the Service.
